Reference is made to the stock exchange announcement made by Gold Road International p.l.c. ("Gold Road" or the "Company"), 25 June 2026 at 22:35 CEST (the "Announcement"), regarding the successful Private Placement of 15,500,000 Offer Shares in the Company. All capitalised terms not defined herein shall have the meaning ascribed to such terms in the Announcement.
The following primary insiders of the Company and persons closely associated with primary insiders have been conditionally allocated Offer Shares in the Private Placement at the Offer Price of NOK 10 per share:
- Svein Harald Øygard, executive chairman and primary insider of the Company, has through his wholly owned company Energy Investors AS been conditionally allocated 1,631,883 Offer Shares. In addition, Mr. Øygard has, in his capacity as Share Lender, lent 1,500,000 existing shares in the Company to the Stabilisation Manager pursuant to the Share Lending Agreement between Mr. Øygard, the Company and the Stabilisation Manager, in order to facilitate delivery of the Additional Shares in the Private Placement. The borrowed shares will be redelivered to Mr. Øygard upon expiry of the 30-day stabilisation period commencing at the date of Listing. Following the Private Placement and such redelivery of the borrowed shares, Mr. Øygard will directly and indirectly hold a total of 7,217,871 shares in the Company, corresponding to 12.27% of the total issued share capital (assuming full utilisation of the Greenshoe Option);
- Ivo Bozon, board member and primary insider of the Company, has been conditionally allocated 1,879,138 Offer Shares. Following the Private Placement, Mr. Bozon will directly and indirectly hold a total of 6,079,138 shares in the Company, corresponding to 10.33% of the total issued share capital (assuming full utilisation of the Greenshoe Option);
- Ingrid Elvira Leisner, board member and primary insider of the Company, has through her controlled company Duo Jag AS been conditionally allocated 10,000 Offer Shares. Following the Private Placement, Mrs. Leisner will directly and indirectly hold a total of 10,000 shares in the Company, corresponding to 0.02% of the total issued share capital (assuming full utilisation of the Greenshoe Option);
- Nils P. Skaset, CEO and primary insider of the Company, has through his wholly owned company Brezza AS been conditionally allocated 112,171 Offer Shares. Following the Private Placement, Mr. Skaset will directly and indirectly hold a total of 112,171 shares in the Company, corresponding to 0.19% of the total issued share capital (assuming full utilisation of the Greenshoe Option).
